Phillip A. Helon

Phillip A. Helon is the founder of Helon Law, an independent boutique firm focused on commercial real estate, hospitality, and business transactions. Before founding the firm in 2009, he practiced at a large national law firm, handling complex real estate, finance, and corporate matters. He also serves as Of Counsel to Brennan Manna Diamond, a full-service law firm. That relationship gives his clients access to broader resources when a matter requires them.

Mr. Helon represents real estate developers and investors in acquiring, selling, developing, leasing, and financing retail, office, multifamily, and mixed-use properties. His work spans land acquisitions and assemblages, title and survey, easements, ground leases, and the development and closing issues that come with them.

In the hospitality sector, he represents hotel owners, developers, investors, and management companies in acquiring, developing, financing, and operating nationally flagged hotels and resorts. That work includes franchise agreements, hotel management agreements, owner/operator structures, and historic tax credit transactions.

Mr. Helon also structures and documents the entities behind real estate and operating businesses. He advises entrepreneurial businesses on capital formation and strategic planning, and he serves as outside general counsel to several companies.

Earlier in his career, Mr. Helon represented national banking associations in structuring, negotiating, and documenting real estate, commercial, and asset-based financings. Today he primarily represents borrowers in construction and permanent financing. Having worked on both sides of the table, he knows how lenders approach loan documents and commitment letters, and he negotiates accordingly.

Mr. Helon is known for his responsiveness, meticulous attention to detail, strong advocacy, and practical, results-oriented approach. Clients rely on him not only for sophisticated legal analysis, but for his ability to move matters forward, solve problems, and get deals closed.
